Some of the obligations apply to certain\r\ntypes of activity, some of them are applicable to certain stage of development,\r\nand part of them applies to all stages.<\/p>\r\n\r\n\r\n\r\n<h4 class=\"wp-block-heading\">Incorporation procedure<\/h4>\r\n\r\n\r\n\r\n<p>The procedure for establishing a Company is implemented by the Central\r\nRegistry of the Republic of Macedonia, upon application filed by an authorized\r\nregistration agent (lawyer or accountant).<\/p>\r\n\r\n\r\n\r\n<p>Certain information\r\nyou need to know before asking an agent to prepare and submit your\r\nincorporation documents is:<\/p>\r\n\r\n\r\n\r\n<ul class=\"wp-block-list\"><li><em>Full and abbreviated name<\/em><\/li><li><em>Address of head office<\/em><\/li><li><em>Manager (his occupation and whether there will be\r\nrestrictions in terms of management)<\/em><\/li><li><em>Division of the share (if there are more founders)<\/em><\/li><li><em>Main activity according to National Classification\r\nof the Activities<\/em><\/li><li><em>E-mail address<\/em><\/li><li><em>Bank in which the first account will be opened<\/em><\/li><li><em>Information about the basic capital<\/em><\/li><\/ul>\r\n\r\n\r\n\r\n<p>In accordance with the Law on Trade Companies, the minimum of the basic\r\ncapital is 5,000 Euros, which can be entered as a monetary or non-monetary\r\ndeposit. The law provides an opportunity to make a payment of the basic capital\r\nafter 1 year of its establishment. This means that a trade company can be\r\nestablished with 0 denars in the first year, which is a significant relief for\r\nthe companies.<\/p>\r\n\r\n\r\n\r\n<p>After the expiration of 1 year, it is necessary to enter the basic\r\ncapital and register in the Central Register of the Republic of Macedonia. If\r\nit is a non-monetary deposit, an estimate is made by an authorized appraiser\r\n(it can be: bureaus, tables, computers, etc.) and is reported to Central Register\r\nof the Republic of Macedonia. If the contribution to the basic capital is not\r\ndone in a period of one year, the company will be posted on the delisting list.<\/p>\r\n\r\n\r\n\r\n<h4 class=\"wp-block-heading\">Obligations for the established companies<\/h4>\r\n\r\n\r\n\r\n<p>In accordance with the Law, with the establishment of the company, there\r\nare certain obligations that the manager of the company should fulfill:<\/p>\r\n\r\n\r\n\r\n<p><em><strong>Notification to the Labour Department<\/strong><\/em><\/p>\r\n\r\n\r\n\r\n<p>This notice is sent at the moment when a company commences its business.<\/p>\r\n\r\n\r\n\r\n<p><em><strong>Evidence on the working hours<\/strong><\/em><\/p>\r\n\r\n\r\n\r\n<p>This procedure is implemented in the Central Register of the Republic of\r\nMacedonia.<\/p>\r\n\r\n\r\n\r\n<p><em><strong>Cash processing operations (mandatory cash register)<\/strong><\/em><\/p>\r\n\r\n\r\n\r\n<p>If the Company\r\nperforms trade operation of goods and services for which payment is not carried\r\nout on a banking route (on the basis of issued invoice), they are obliged to\r\nintroduce and use an approved fiscal system of equipment for registering cash\r\npayments.&nbsp;<\/p>\r\n\r\n\r\n\r\n<p><em><strong>Select an accountant<\/strong><\/em><\/p>\r\n\r\n\r\n\r\n<p>With the establishment, it is necessary for the company to choose an\r\naccountant who will take care of drawing up wages, writing invoices, preparing\r\nan annual final account etc.<\/p>\r\n\r\n\r\n\r\n<p><em><strong>Submitting an annual final account<\/strong><\/em><\/p>\r\n\r\n\r\n\r\n<p>This obligation is mandatory for all companies. It is prepared by the\r\naccounting officer and submitted to the Central Register of the Republic of\r\nMacedonia.<\/p>\r\n\r\n\r\n\r\n<p><em><strong>Registration of secrecy and protection of personal data<\/strong><\/em><\/p>\r\n\r\n\r\n\r\n<p>The companies are obliged to respect the Law on Secrecy and Protection of Personal Data. They are obliged to inform the Directorate for Personal Data Protection about the processing of personal data.
