Change of company CEO in Macedonia

The change of CEO in a trading company is a procedure that is conducted before the Central Registry of the Republic of North Macedonia. This procedure is regulated by the Law on Trading Companies.

 

If a trading company decides to change its CEO, several necessary documents must be prepared and submitted to the Central Registry. The entire process is conducted exclusively in electronic form.

 

The required documents for a change of management typically include:

 

In order to change the CEO, the Company needs to submit the following documents:

 

  1. Decision for the change of manager.
  2. Decision to amend the Memorandum of Association (in the case of an LLC).
  3. Decision to amend the Articles of Association (in the case of a Joint Stock Company).
  4. Revised text of the Memorandum of Association (in the case of an LLC).
  5. Revised text of the Articles of Association (in the case of a Joint Stock Company).
  6. Statement in accordance with Article 32 of the Law on Trading Companies.
  7. Statement in accordance with Article 183 of the Law on Trading Companies.
  8. Personal ID copy of the new manager.

 

Note: If the procedure for changing the manager before the Central Registry of the Republic of North Macedonia is carried out by a lawyer, then the relevant power of attorney for conducting the procedure for changing the manager before the Central Registry is required.

 

Once the necessary documents are prepared, they should be scanned and electronically signed with a digital certificate, using a qualified electronic signature, and submitted to the Central Registry of the Republic of North Macedonia.

The submission through the Electronic Registration System of the Central Registry is done through the Central Registry of the Republic of North Macedonia’s website, specifically on the following page – Почетна страна (crm.com.mk)

 

The system itself guides the applicant through the procedure, from attaching the necessary attachments to making the required changes.

 

After completing the last step, the application goes to the competent authority at the Central Registry, which decides on it. If there are errors in the application, the competent authority electronically returns the case for correction and allows a period of 5 days for the correction to be made.

 

Note: According to the tariff, the Central Registry charges a fee of 1,657.00 Macedonian Denars for registering a change of manager. After the necessary corrections are made, the application is resubmitted to the decision-making authority.

 

Upon a positive decision to register the change after the submitted application for a change of manager, the Central Registry issues a Decision on the registration of changes and a new current status of the Company. The decision and the current status can be issued in paper or electronic form. With the issuance of these documents, the procedure for changing the manager is completed.
