REGULATION TO OPEN A COMPANY IN MACEDONIA?
The opening of a company, i.e. registration, the establishment of a trading company, is a procedure regulated in the Law on Commercial Companies as well as in the Law on the One-Stop Shop System.
The competent institution for registering the company is the Central Register, which keeps a register of all legal entities.
DOCUMENTS REQUIRED
In order to open a company, you can engage an authorized registration agent (lawyer or accountant), who will compile the documents and compile an application to establish a trading company in the central register.
The information necessary for the composition of LLC founding documents is:
The name of the company;
Seat address;
ID from the manager;
ID from the founders;
Distribution of stake among founders;
Height of basic principal and height of the stakes to be assumed by the founders (cash or non-cash);
Type of business activity;
E-mail address; and
A bank where the company’s first account will open.
PROCEDURE
The authorized registration agent will make the composition of the documents (statement/founding agreement, statement under Article 32, statement under Article 29, statement under Article 183, ZP – model, full), followed by the signing of the documents by the manager and the founders.
Once the documents are signed, the authorized registration agent signs the documents with an electronically qualified signature and compiles an electronic application to establish a trading company.
The application is submitted to the Central Registry through their electronic portal on their website.
After the application, the Central Registry acts within 24 hours. The Central Register does not charge registration fees.
COMPLETION OF THE PROCEDURE
Upon approval of the application, the Central Registry issues a Decision establishing a Limited liability company.
The Founding Decision lists all information related to the company, including (name, registration number, tax number, headquarters, etc.)
With the Founding Decision, the procedure for opening bank accounts, the procurement of stamps, the application of Employees of the AVRM, etc. may continue.
